The ICS Strategic Plan was adopted by the membership at the 2013 AGM. Since then the Board of Trustees has been busy implementing the actions within the plan. A crucial project was to initiate a full review of the ICS Articles and Bylaws. These documents govern the way the society is managed and are vital to its effective operation. It is imperative that the documents are clear, accurate and aligned to strategic goals.
The proposed revisions reflect research and consultation undertaken by the Board of Trustees, as informed by the Governance Taskforce and the society’s appointed legal experts. This extensive review has taken place over the past 18 months.
The changes will refine working practices, remove ambiguous areas and improve the overall function of the Articles and Bylaws. This is the widest and most significant review in over a decade and will update the governance documents in line with the content of the Strategic Plan. Should the changes be accepted by the membership then only minor changes are expected in each subsequent year.
The Board now requests your comments on the proposed Article and Bylaw revisions by Thursday 14 August

It is recommended that you first read the ‘Summary’ document as this provides the background to the major changes, and also acts as a guide to the track changes shown in the draft Article and Bylaw documents. Following the consultation all responses will be reviewed by the Board and a final set of Articles and Bylaws will be posted for membership voting online, before and at the 2014 Annual General Meeting (AGM).
The AGM will be held from 16:30 – 18:00 on 23 October 2014 in Rio de Janeiro, Brazil during ICS 2014.
